Role Summary
The Capital Markets Associate will own the IPO readiness workstream for DAC portfolio companies. Your mission is to compress time-to-file, sharpen the equity story, and run a disciplined cross-functional process from initial S-1 drafting through the roadshow. You will sit at the intersection of Finance, Legal, Investor Relations, and Underwriters to transform operating KPIs into investor-grade narratives and deliver clean, institutional filings.
Key Responsibilities
- Filing & Content: Drive the S-1/F-1 drafting workflow (MD&A, KPIs, risk factors); coordinate auditors and legal counsel; manage the EDGARization process.
- Financial Modeling: Own the cap-table and waterfall models, proceeds/dilution analysis, price-range sensitivities, and pro-forma EPS.
- Market Intelligence: Build trading comps, precedent IPO sets, and KPI benchmarks; maintain peer watchlists and performance tracking.
- Equity Story: Produce banker-grade slide decks; craft Test-the-Waters (TTW) and roadshow scripts, including speaker notes and objection-handling FAQs.
- Syndicate Interface: Support bookbuild etiquette, allocations, greenshoe/lock-up structures, and stabilization considerations with underwriters.
- Project Management: Orchestrate the critical path, stand-ups, and issue logs; unblock functional teams to hit aggressive filing dates.
- Investor Feedback: Systematize feedback from the buy-side; iterate on messaging and KPI disclosures based on market response.
- Compliance & Scale: Enforce MNPI hygiene and Reg FD posture; codify repeatable checklists and templates for use across all DAC sectors.
Qualifications
Required
- 3–6 years in ECM, Syndicate, Investment Banking (IPO focus), or Capital Markets Advisory.
- Direct experience participating in at least one IPO or S-1/F-1 readiness program.
- Advanced proficiency in IPO modeling (cap table, dilution, pro-forma EPS) and technical Excel auditing.
- Familiarity with Reg S-K/S-X, SEC comment-letter processes, and Reg FD.
- Proficiency in Google Workspace, Microsoft 365, and Virtual Data Rooms (Intralinks, Box, or GDrive).
Preferred
- Experience with Workiva, Donnelley, or similar EDGAR vendors.
- Familiarity with FactSet, Bloomberg, or Capital IQ.
- MBA or CPA credential.
- Series 79/63 licenses (or willingness to obtain if required).

- Process Rigor: Exceptional project management skills with the ability to lead cross-functional teams under extreme time pressure.
- Regulatory Acumen: High degree of professional maturity regarding MNPI, "need-to-know" access, and audit-ready documentation.
- Technical Versatility: Capability to move from high-level syndicate strategy to granular cap-table math without loss of accuracy.

Compensation
Structure: 100% success-fee based.
Terms: Payable only upon successful transaction close; no base salary or retainer.
Dark Alpha Capital LLC offers a performance-based compensation structure aligned directly with transaction outcomes and individual contribution. The Associate is eligible to earn an Origination Fee of up to 5% of Net Transaction Fees for sourcing and supporting qualifying deals, with reduced compensation for brokered transactions as applicable. In addition, the role may include performance-based upside through a 2.5% carry participation on realized portfolio profits and a 1.25% capital raising fee for qualifying investor introductions. Compensation is paid following transaction completion and receipt of proceeds by the Company, net of applicable deal-related expenses. All compensation is contingent on measurable contribution to deal execution and timely, accurate documentation of activity within internal systems.
