Litigation Attorney

Title: Litigation Attorney Department / Team: Legal Location: Remote Employment Type: Full-time; Non-exempt Lead high-stakes legal strategy and dispute resolution for Dark Alpha Capital, managing complex litigation across M&A transactions, activist engagements, and proprietary operations. Serve as a trusted advisor to leadership while protecting the firm’s assets, enforcing critical agreements, and navigating legal risks in a fast-moving, transaction-driven environment.

Role Summary

The Litigation Attorney will be responsible for managing the firm’s legal disputes, ranging from commercial contract enforcement and employment matters to intellectual property protection and regulatory inquiries. This role requires a high-caliber litigator who can navigate the complexities of lower-middle-market M&A disputes and proprietary trading regulations. You will serve as both a strategic advisor to leadership and a hands-on manager of outside counsel.

Key Responsibilities

  • Dispute Management: Manage all phases of litigation, including pre-suit demands, discovery, motion practice, and trial preparation.
  • Contract Enforcement: Oversee disputes related to Letters of Intent (LOIs), purchase agreements, and non-circumvention/non-disclosure agreements (NDAs).
  • IP Protection: Safeguard the firm’s proprietary trading algorithms and trade secrets through proactive legal strategy and enforcement.
  • Outside Counsel Oversight: Select, manage, and audit the performance of external law firms to ensure high-quality representation and cost-efficiency.
  • Risk Mitigation: Advise the CIO and Portfolio Managers on legal risks associated with specific trading strategies or investment structures.
  • Internal Investigations: Conduct internal reviews and fact-finding missions related to compliance, ethics, or operational breaks.
  • Settlement Negotiation: Lead or support settlement discussions and mediations to achieve the most favorable outcomes for the firm.

Qualifications

Required

  • J.D. from an accredited law school and active bar membership in good standing.
  • 4–7 years of experience in commercial litigation, preferably at a top-tier law firm or in-house within the financial services sector.
  • Proven experience handling high-stakes business disputes, breach of contract, or financial services litigation.
  • Deep understanding of civil procedure, rules of evidence, and discovery management.

Preferred

  • Experience with M&A-related litigation or SEC/FINRA regulatory inquiries.
  • Familiarity with intellectual property law as it pertains to software and algorithms.
  • Previous experience working with independent sponsors or private equity firms.

  • Ethical Rigor: Absolute commitment to maintaining privilege, confidentiality, and the highest standards of professional conduct.

  • Standard office hours 9:00 am - 5:00 pm (EST)
  • Remote role, with periodic strategic syncs

Compensation

Structure: 100% success-fee based.

Terms: Payable only upon successful transaction close; no base salary or retainer. 

Foundational Impact: Act as a key guardian of the firm's assets during its most critical phase of growth and transition.


Compensation for this role is performance-based and tied to outcomes from activist and special situation engagements. In the event of a successful takeover transaction, Counsel is eligible to receive equity compensation valued at approximately $300,000 in the acquired company. For engagements that result in a monetary settlement or payment without a full takeover, Counsel may earn 10% of proceeds received. Compensation is contingent on successful outcomes and aligned with the value generated through advisory contributions.
